We are registered in England and Wales under company number 14558454 and have our registered office at Unit 12 Old Mill Road Portishead Bristol BS20 7BX.   2. By using our Library you accept these terms

    ur Library is made available free of charge but some contributors may charge a fee to allow you to use their Contribution.We do not guarantee that our Library, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Library for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.You are also responsible for ensuring that all persons who access our Library through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

  7. You must keep your account details safe

    If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential.     Although our Library is not fully moderated, we intend that every contribution submitted to our Library (Contribution) will be checked by us for compliance with our content standards www.makeit-place.com/acceptable-use (Content Standards) before or as soon as reasonably practicable after it is published. However we are under no obligation to you or any other person to oversee, monitor or moderate the Library or any other service we provide on our Library and we may stop moderating the Library at any time.

  11. Use of the Library by minors

    The use of our Library by a minor is subject to the consent of their parent or guardian. We advise parents who permit their children to use our Library that it is important that they communicate with their children about their safety online. Minors who are using our Library should be made aware of the potential risks to them and of their obligation to comply with these Rules when using our Library.

  12. Submission of Contributions

    To add a Contribution as a product. There is 99MB limit to the size of a Contribution. Before making a Contribution you must register with our Library by completing the registration form www.makeit-place.com/Identity/Account/Register. Your email, country of residence and user name, your user name and location may appear as part of your Contribution when published.

  13. Content standards

    These Content Standards apply to each part of a Contribution as well as to its whole. The Content Standards must be complied with in spirit as well as to the letter. We will determine, in our discretion, whether a Contribution breaches the Content Standards.

      Contribution must:
    • Be accurate (where it states facts).
    • Comply with the law applicable in England and Wales and in any country from which it is posted.
    • Be relevant.
    • Be safe to use.
      A Contribution must not:
    • Be dangerous to use
    • Be defamatory of any person.
    • Be obscene, offensive, hateful or inflammatory.
    • Bully, insult, intimidate or humiliate.
    • Promote sexually explicit material.
    • Include child sexual abuse material. Exploit, abuse or groom for sexual abuse a child or children.
    • Promote violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
    • Disclose the name, address, telephone, mobile or fax number, e-mail address or any other personal data in respect of any other individual without their express consent.
    • Infringe any copyright, database right or trade mark of any other person.
    • Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
    • Be in contempt of court.
    • Be likely to harass, upset, embarrass, alarm or annoy any other person.
    • Impersonate any person or misrepresent your identity or affiliation with any person.
    • Give the impression that the Contribution emanates from us or MakeIt Place Limited if this is not the case.
    • Advocate, promote, incite any third party to commit, or assist any unlawful or criminal act.
    • Contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism.
    • Contain any advertising or promote any services or web links to other sites.
    • impose or may impose, as we determine at our sole discretion an unreasonable or disproportionately large load on our infrastructure.
    • Interfere with the proper running of our Library
  14. Copyright

    By submitting a Contribution to our Library, you agree to grant us a non-exclusive licence to access that Contribution. Although you will still own the copyright in your Contribution, MakeIt Place Limited will have the right to freely use, edit, alter, reproduce, publish and/or distribute the material contained in your Contribution. This licence is freely assignable and may be sub-licensed.

    This licence will be free of charge, perpetual unless the Contribution states otherwise..

    We and other subscribers may offer different types of licence for the download and use of our Contributions, so it is important that you carefully review the rights and restrictions of the Licence that applies to the Contribution before you purchase a licence to use it. In the event of a conflict between the licence applicable to you and these Terms, the licence will apply to the extent of that conflict You are solely responsible for your interactions with other subscribers and we accept no responsibility or liability for your dealings with other subscribers.

    By submitting your Contribution to our Library, you warrant that you have the right to grant us the non-exclusive copyright licence described above.If you are not in a position to grant such a licence to us, please do not submit your Contribution to our Library.We do not monitor or control what others do with your Contribution. You are responsible for determining the limitations that are placed on your Contribution and for applying the appropriate level of access to your Contributions.If you do not choose the access level to apply to your Contribution, the system may default to its most permissive setting. It is your responsibility to let other users know how your Contribution may be shared and to adjust the setting related to accessing or sharing your Contributions.

  15. We are not responsible for viruses and you must not introduce them

    We do not guarantee that our Library will be secure or free from bugs or viruses.You are responsible for configuring your information technology, computer programmes and platform to access our Library. You should use your own virus protection software.You must not misuse our Library by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful.

    You must not attempt to gain unauthorised access to our Library, the server on which our Library is stored, or any server, computer or database connected to our website. You must not attack our Library via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Library and our website will cease immediately.

Failure to comply with these Rules constitutes a material breach of the terms of use on which you are permitted to use our Library, and may result in our taking all or any of the following actions:

    • Immediate, temporary or permanent removal of any Contribution already posted on our Library.
    • Issue of a warning to you.
    • Commence.
    • legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; and/or
    • Further legal action against you.
    • Disclosure of such information to law enforcement authorities as we (in our absolute discretion) consider necessary or as required by law.
  17. Complaints

    If you wish to complain about any Contribution posted to our Library, please tell us about it. We will then review the Contribution and decide whether it complies with our Content Standards. We will deal with any Contribution which, in our opinion, violates our Content Standards as described above (see section "Breach of these Rules"). We will inform you of the outcome of our review within a reasonable time of receiving your complaint.

  18. Our responsibility for loss or damage suffered by you

      Whether you are a consumer or a business user:
    • We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
      If you are a business user:
    • We exclude all implied conditions, warranties, representations or other terms that may apply to our Library or any content on it.
    • We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
    • Use of, or inability to use, our Library; or
    • Use of or reliance on any content displayed on our bulletin board.
      • In particular, we will not be liable for:
      • loss of profits, sales, business, or revenue;
      • business interruption;
      • loss of anticipated savings;
      • loss of business opportunity, goodwill or reputation; or
      • any indirect or consequential loss or damage.

  19. Storage Practices and Limits.

    There is limited storage space for Contributions to our Library. While we will make such efforts as we believe to be reasonable to safeguard and backup your Contributions, and to make Contributions available in case of loss or deletion, we have no responsibility or liability for the deletion or failure to store or the security of any Contribution. We reserve the right to mark or treat as "inactive" and archive accounts and/or Contributions that are inactive for an extended period of time, as determined by us in our sole discretion. We reserve the right to change our practices and storage rules at any time in our sole discretion with or without notice to you.

  20. We may transfer this agreement to someone else

    We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

  21. Which country's laws apply to any disputes?

    If you are a consumer, please note that these rules, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

    If you are a business, these rules, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

  22. Our trade marks

    You are not permitted to use any trade name or trade mark belonging to or used by us or MakeIt Place Limited without our approval in writing.
